1. Who these terms are between
These Terms of Service ("Terms") are a binding agreement between you and OWOW Inc., a company registered in Japan under corporate number 9290001089293 with its registered office at Arato 2-4, Chuo Ward, Fukuoka City, Fukuoka Prefecture, Japan ("Trade X", "we", "us", "our"). They govern your use of the Trade X websites, the Quant Desk, the strategy vault, the Expert Advisors and indicators we distribute, our APIs, and every related service (together, the "Services").
By creating an account, purchasing a plan, downloading software or otherwise using the Services, you agree to these Terms, to the Privacy Policy and to the Risk Disclosure, each of which forms part of this agreement.
2. Eligibility
You may use the Services only if you are at least 18 years old and have full legal capacity to enter into this agreement. You may not use the Services if you are resident in, located in, or acting on behalf of any person in a country subject to comprehensive sanctions, or if you appear on any applicable sanctions or restricted-party list.
You are responsible for determining whether your use of the Services is lawful where you are. The Services are not offered to any person in any jurisdiction where their provision would require us to hold a licence or registration we do not hold, and we may decline or terminate service on that basis at any time.
3. What the Services are — and are not
Trade X provides trading software and quantitative research tools. Depending on the plan you hold, this may include: indicators and Expert Advisors that you install on your own MetaTrader terminal; a hosted strategy engine that can generate orders and transmit them to a terminal you control; a strategy vault with measured historical performance; backtesting and research tooling; and AI-assisted chart and market analysis.
What we are not. We are not a broker, dealer, exchange, investment adviser, portfolio manager, fund, custodian or money transmitter. We do not hold, receive or control your trading capital at any time. We do not execute trades on any market. Where the Services generate an order, that order is transmitted to software running under your control and to a broker with whom you, not we, hold the account and the relationship.
No advice. Nothing the Services produce is investment, financial, legal or tax advice, or a personal recommendation. Strategies, scores, rankings, signals, backtests and AI commentary are general information and analytical output. They are not tailored to your circumstances, and we do not assess suitability.
You decide. Every decision to enable a strategy, to permit automated execution, to size a position, to accept an order or to leave a system running unattended is yours. You may disable automation at any time, and you are responsible for doing so if you no longer wish orders to be generated.
4. Accounts and security
You must provide accurate registration details, including your legal first and last name, a valid email address and, where requested, a telephone number, and keep them current. One person may not maintain multiple accounts to circumvent plan limits or trials.
You are responsible for all activity under your account and for keeping your credentials, API tokens and bridge tokens confidential. Notify us immediately at [email protected] if you believe your account has been compromised. We may suspend an account immediately where we reasonably believe it has been compromised or is being used unlawfully.
We will never ask you for your broker password. Do not provide it to anyone claiming to represent us.
5. Licence and intellectual property
Subject to these Terms and to your plan remaining in good standing, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Services and to install the software we distribute on trading accounts that you own or are lawfully authorised to operate, up to any account limit stated for your plan.
You may not: resell, sublicense, rent, lease, lend or redistribute the software or its output as a product; reverse-engineer, decompile or disassemble any part of it except where that restriction is void under applicable law; remove or alter any notice; circumvent licensing, activation or usage limits; scrape, bulk-download or systematically extract the strategy vault or its figures; or use the Services to build a competing product.
All intellectual property in the Services, including the strategies, source code, models, research, figures, designs, documentation and the Trade X and Quant Desk marks, remains ours or our licensors'. Nothing in these Terms transfers ownership of anything.
Any feedback you give us may be used without restriction or compensation.
6. Acceptable use
You agree not to use the Services to: break any law or regulation applicable to you; manipulate a market or engage in abusive trading practices; breach the terms of your broker, your prop firm or any funded-account programme; attack, overload, probe or interfere with our infrastructure; gain unauthorised access to any account or system; misrepresent your identity; or present our output as your own licensed advisory service to third parties.
You are solely responsible for confirming that any automated strategy you run complies with the rules of your broker and of any evaluation or funded-account programme you participate in. Breaches of those rules are between you and them.
7. Third-party services
The Services depend on and interoperate with third parties, including brokers, MetaQuotes and the MetaTrader platform, hosting and VPS providers, AI model providers, payment processors and messaging providers. We do not control them, do not guarantee their availability, performance, pricing or conduct, and are not responsible for their acts or omissions. Your relationship with each is governed by their own terms, and you are responsible for complying with those terms.
Where a third party changes, restricts, re-prices, deprecates or withdraws a service we rely on, the Services may change or become unavailable accordingly.
8. Fees, billing, trials and refunds
Plan prices, inclusions and any trial terms are those displayed at the point of purchase. Subscriptions are billed in advance on a recurring basis through our payment provider and renew automatically for successive periods until cancelled.
Cancellation. You may cancel at any time, effective at the end of the current billing period. Cancelling stops future renewals; it does not retroactively refund the period already paid for. Access continues until the end of the period you have paid for.
Refunds. Except where a refund is required by mandatory law that cannot be excluded, fees are non-refundable, including for partly used periods, for periods in which you did not use the Services, and for dissatisfaction with trading results. Where a statutory right of withdrawal applies to you, it is not affected by this paragraph.
Trials. Where a trial is offered, it converts to a paid subscription at the end of the trial period unless cancelled before then. Trials are limited to one per person.
Changes to pricing. We may change prices, plan contents and included limits. Changes take effect at your next renewal, and we will give reasonable notice before they do. Continuing after a price change takes effect is acceptance of it.
Taxes. Prices exclude any applicable VAT, GST, consumption or sales tax unless stated. Where we are required to collect tax, it is added at checkout. Any other tax arising from your use of the Services or from your trading is your responsibility.
Chargebacks. Initiating a chargeback rather than contacting us first may result in immediate suspension pending resolution.
9. Trading risk — acknowledgement
You acknowledge that you have read and understood the Risk Disclosure and that, in particular: trading leveraged instruments carries a high risk of loss; you may lose your entire deposit and, on some accounts, more than your deposit; most retail traders lose money; past and simulated performance does not indicate future results; our published figures come from a single in-sample historical window and are not walk-forward validated; automated systems fail in ways that are not visible until after they have caused loss; and AI-generated analysis can be confidently wrong.
You accept full responsibility for your trading decisions and their outcomes, and you confirm that you are risking only capital whose total loss you can absorb.
10. Performance information
Figures published on our sites — including profit factor, win rate, trade counts, returns, drawdown, scores and expectancy — describe historical or simulated results measured under stated conditions. They are provided for information and comparison. They are not a forecast, a projection, a guarantee, or a representation that any account will achieve similar results. Hypothetical and simulated results have inherent limitations, are prepared with hindsight and do not involve financial risk or the psychological pressure of live trading.
11. Availability, changes and support
We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, third-party outages and events outside our control will cause downtime. We may modify, suspend or discontinue any part of the Services at any time; where a change is material and adverse and you hold a paid plan, we will give reasonable notice.
Support is provided as described for your plan, through the channels we publish, in English, on a commercially reasonable basis. Support does not include advice on what or when to trade.
12. Disclaimer of warranties
To the maximum extent permitted by law, the Services and all software, data, strategies, figures and output are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory. We specifically disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and quiet enjoyment.
We do not warrant that the Services will be uninterrupted, secure or error-free; that defects will be corrected; that any strategy, figure or analysis is accurate, complete or current; or that use of the Services will be profitable or will avoid losses. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
13. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for any trading loss, lost profit, lost opportunity, loss of anticipated savings, loss of data, loss of goodwill, or business interruption, however caused and on any theory of liability, whether or not we were advised of the possibility.
- We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages.
- We are not liable for losses arising from: your configuration or misconfiguration of any strategy or software; your decision to enable, disable or leave automation running; the acts, omissions, insolvency, pricing, execution or outage of any broker, platform, VPS, AI provider, payment processor, network or other third party; market conditions including gapping, slippage, spread widening, low liquidity or halts; breach by you of any broker or funded-account programme rule; or unauthorised access to your account resulting from your failure to keep credentials secure.
- Our total aggregate liability arising out of or in connection with this agreement and the Services, in the aggregate over all claims, is limited to the total fees you actually paid us in the twelve months immediately preceding the event giving rise to the claim, or USD 100 if greater than that amount.
Because the Services are supplied at prices that reflect this allocation of risk, these limits apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations, in which case the exclusions above apply to the fullest extent permitted and the remainder is unaffected.
14. Indemnity
You agree to indemnify and hold harmless Trade X, its officers, employees, contractors and licensors from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your use of the Services, your trading activity, your breach of these Terms, your breach of any third party's terms or rights, or your violation of any law.
15. Suspension and termination
We may suspend or terminate your access immediately, without refund, if you breach these Terms, if we are required to do so by law or by a provider we depend on, if we reasonably suspect fraud, abuse, sanctions exposure or unlawful use, or if your payment fails and is not cured after notice. You may terminate at any time by cancelling and ceasing use.
On termination, your licence ends and you must stop using and delete the software. Sections that by their nature survive — including licence restrictions, disclaimers, limitation of liability, indemnity, governing law and disputes — survive termination.
16. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, civil unrest, terrorism, epidemic, government or regulatory action, sanctions, strikes, failures of power, telecommunications, internet or cloud infrastructure, cyber-attack, exchange or broker suspension, or extreme market disruption.
17. Governing law and dispute resolution
These Terms and any dispute arising out of or in connection with them or the Services are governed by the laws of Japan, without regard to conflict-of-laws rules.
Informal resolution first. Before commencing any proceeding, you agree to contact us at [email protected] and to attempt in good faith to resolve the dispute for at least 30 days.
Forum. Any dispute not resolved informally is subject to [the exclusive jurisdiction of the courts of [PLACE] / binding arbitration administered by [INSTITUTION] under its rules, seated in [SEAT], in English, before a single arbitrator].
No class actions. To the extent permitted by law, disputes must be brought individually and not as a plaintiff or class member in any purported class, collective or representative proceeding.
Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, or it is permanently barred.
If you are a consumer, nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence, including any right to bring proceedings there.
18. General
Changes. We may update these Terms. We will post the revised version with a new "last updated" date and, where the change is material, give notice through the Services or by email. Continued use after the effective date is acceptance. If you do not accept a change, stop using the Services and cancel.
Entire agreement. These Terms, the Privacy Policy and the Risk Disclosure are the entire agreement between us and supersede any prior understanding on their subject matter.
Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force.
No waiver. Failure to enforce a provision is not a waiver of it.
Assignment. You may not assign this agreement without our written consent. We may assign it in connection with a merger, acquisition or sale of assets.
No third-party rights. No person other than you and us has any right to enforce these Terms.
Notices. We may give notice by email to your registered address or by posting in the Services. Notices to us go to [email protected].
Language. These Terms are drafted in English. Any translation is for convenience, and the English version governs.
